Terms of service

These Terms of Service ("Terms") are a binding agreement between you and Meadowlark LLC ("Meadowlark," "we," "us," or "our"). They govern your access to and use of the Meadowlark website, application, and related services (collectively, the "Service"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Meadowlark is a personal finance information and organization tool. The Service may let you connect financial accounts, import or enter transactions, organize transactions and merchants, and view summaries of your financial activity.

Meadowlark is not a bank, financial institution, investment adviser, broker, lender, accountant, or tax adviser. We do not hold, move, or manage your money, initiate transactions on your behalf, or provide financial, investment, legal, accounting, or tax advice. Information provided through the Service is for informational purposes only and is not a substitute for professional advice.

2. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a contract to use the Service. The Service is currently intended for use in the United States.

You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for activity under your account. You must notify us promptly at hello@meadowlarkapp.com if you believe your account has been accessed without authorization. You may not share your account or use another person's account without permission.

3. Linked financial accounts

The Service uses Plaid and may use other third-party providers to connect to financial institutions and retrieve account, balance, transaction, and related financial information. When you link an account, you authorize us and our providers to access, transmit, store, and use that information as described in our Privacy Policyand as needed to provide the Service. Your use of a provider may also be subject to that provider's terms and privacy policy.

You represent that you are authorized to connect each financial account and share its data with the Service. You may disconnect an institution through the Service. Disconnecting stops future retrieval from that connection but may not automatically delete information already imported into Meadowlark.

Financial institutions and data providers control the availability, timing, and accuracy of linked data. Data may be delayed, incomplete, duplicated, or inaccurate. You are responsible for reviewing information against your official financial records before relying on it.

4. Subscriptions, trials, and payment

Some or all of the Service requires a paid subscription. Prices, billing intervals, taxes, and any promotional terms are shown at checkout. Payments are processed by Stripe, and your use of Stripe's services is subject to Stripe's terms and privacy policy.

Free trial and automatic renewal

New subscriptions currently include a 14-day free trial unless checkout states otherwise. When you begin a trial, you authorize Stripe to store your payment method. Unless you cancel before the trial ends, your paid monthly subscription will begin automatically and your payment method will be charged the price and applicable taxes shown at checkout. Your subscription will then renew automatically each month until canceled.

Cancellation and refunds

You may cancel at any time from the Billing page in your account settings. To avoid a trial or renewal charge, cancel before the applicable trial or billing period ends. Cancellation takes effect at the end of that period, and you may continue using the paid Service until the date shown on the Billing page. You may undo a scheduled cancellation from the Billing page before it takes effect. If you need help canceling, contact us at hello@meadowlarkapp.com.

Except where required by law or expressly stated otherwise, charges are non-refundable and we do not provide credits for partial billing periods. We may change subscription pricing prospectively by giving reasonable advance notice. Any price change will apply no earlier than your next renewal after the notice period.

5. Your data and content

As between you and Meadowlark, you retain your rights in information you enter or import into the Service, such as account details, transactions, notes, categories, and merchant information ("Your Data"). You grant Meadowlark a limited, non-exclusive license to host, copy, process, transmit, and display Your Data only as reasonably necessary to provide, secure, maintain, and improve the Service, comply with law, and enforce these Terms. This license ends when Your Data is deleted from our systems, subject to reasonable backup, security, and legal-retention periods.

You are responsible for Your Data and must have the rights necessary to provide it. Do not submit unlawful material or information you are not authorized to use. Our collection and handling of personal information is described in our Privacy Policy.

6. Acceptable use

You may not, and may not help another person to:
  • use the Service unlawfully, fraudulently, or to violate another person's rights;
  • access another person's account or data without authorization;
  • probe, disrupt, overload, damage, or circumvent the security or operation of the Service;
  • introduce malware or other harmful code;
  • scrape or use automated means to access the Service except through interfaces we expressly provide;
  • copy, sell, sublicense, reverse engineer, or create derivative works from the Service, except where applicable law does not permit that restriction; or
  • use the Service or its output to build or train a competing product or service.
We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Service, our users, or others.

7. Ownership

Meadowlark and its licensors own the Service, including its software, design, text, graphics, trademarks, and other content, excluding Your Data. Subject to these Terms, Meadowlark grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own lawful purposes. No other rights are granted.

If you send feedback or suggestions, you permit us to use them without restriction or compensation, but you are not required to provide feedback.

8. Third-party services

The Service depends on third parties, including financial institutions, Plaid, Stripe, authentication providers, hosting providers, analytics providers such as Google Analytics and links to external websites. We do not control third-party services and are not responsible for their availability, accuracy, security, content, or practices. Your relationship with a third party is governed by your agreements with that third party. Nothing in these Terms changes your rights or obligations under your agreements with a financial institution or other provider.

9. Beta features and changes to the Service

The Service may include beta, preview, or experimental features. They may be incomplete, inaccurate, or changed or discontinued without notice. We may modify, suspend, or discontinue any part of the Service. If we discontinue a paid Service before the end of a prepaid billing period, we will provide a prorated refund for the unused period unless the discontinuation results from your violation of these Terms or circumstances outside our reasonable control.

10. Termination and account closure

You may stop using the Service at any time. You can delete your account from the Security page in Settings, or contact hello@meadowlarkapp.com for assistance. Deleting your account does not by itself entitle you to a refund and does not affect obligations incurred before deletion.

We may suspend or terminate your access if you materially or repeatedly violate these Terms, fail to pay amounts due, create risk or potential legal exposure, or if required by law. When reasonably possible, we will provide notice and an opportunity to correct the issue. We may terminate the Service for other reasons with reasonable notice.

Provisions that by their nature should survive termination will survive, including payment obligations, ownership provisions, disclaimers, limitations of liability, indemnification, and dispute provisions.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MEADOWLARK AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE, OR THAT DATA WILL NOT BE LOST.

YOU ARE RESPONSIBLE FOR YOUR FINANCIAL DECISIONS AND FOR MAINTAINING ANY RECORDS OR BACKUPS YOU NEED. DO NOT RELY ON THE SERVICE AS YOUR SOLE RECORD OF ACCOUNT BALANCES, TRANSACTIONS, TAX INFORMATION, OR OTHER FINANCIAL INFORMATION.

Some jurisdictions do not allow certain warranty disclaimers, so some of these disclaimers may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEADOWLARK AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MEADOWLARK FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations do not apply to liability that cannot be limited or excluded under applicable law.

13. Indemnification

To the extent permitted by law, you will indemnify and hold harmless Meadowlark and its members, officers, employees, and agents from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from Meadowlark's own negligence, willful misconduct, or violation of law.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you and Meadowlark consent to their jurisdiction. This section does not prevent either party from bringing an eligible claim in small claims court or seeking emergency injunctive relief.

If you are a consumer, this section does not deprive you of protections you cannot waive under the laws of your jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. If a change materially affects your rights or obligations, we will provide reasonable advance notice by email, through the Service, or by another appropriate method. The updated Terms will state their effective date. Changes will apply prospectively unless applicable law requires otherwise. If you do not agree to an update, you must stop using the Service and cancel your subscription before the updated Terms take effect.

16. General terms

These Terms and the Privacy Policy are the entire agreement between you and Meadowlark concerning the Service, except for any additional terms presented for a specific feature or offer. If a provision is unenforceable, it will be modified only to the extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience only.
